Terms of Service

1. Acceptance of Terms

By accessing or using any Securedy Labs product, platform, or service, including the AEGIS firewall system, AI security consulting tools, dashboards, APIs, and securedylabs.dev (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company, school, district, university, or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use our Services. These Terms apply to all users including individual subscribers, business customers, enterprise clients, and educational institutions. Where educational institutions are involved, these Terms are supplemented by a Data Processing Agreement that governs student data handling obligations.

2. Definitions

"Securedy Labs," "we," "our," or "us" refers to Securedy Labs and its affiliates operating under the Securedy AI brand at securedylabs.dev. "Services" refers to all products, platforms, tools, APIs, dashboards, and content provided by Securedy Labs, including AEGIS. "AEGIS" refers to the Securedy Labs AI-powered firewall and network security platform. "User," "you," or "your" refers to any individual or entity accessing or using the Services. "Educational Institution" refers to any K-12 school, school district, college, university, or other accredited educational organization using the Services. "Student Data" refers to any personally identifiable information that is directly related to a student and collected or processed in connection with a deployment at an Educational Institution. "Content" refers to any data, information, configurations, rules, queries, or materials you submit to or generate through the Services. "Subscription" refers to a paid or trial plan granting access to the Services for a defined period.

3. Eligibility

To use the Services you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. If you are under 18, you may only use the Services through an Educational Institution deployment under the supervision of authorized institutional administrators. You must have the legal capacity to enter into a binding agreement. Use of the Services is void where prohibited by law.

4. Accounts and Registration

4.1 Account Creation You must create an account to access most Services. You agree to provide accurate, current, and complete information during registration and to keep that information updated. 4.2 Account Security You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at security@securedylabs.dev if you suspect unauthorized access to your account. Securedy Labs is not liable for losses resulting from unauthorized use of your account due to your failure to safeguard your credentials. 4.3 One Account Per User Unless otherwise agreed in writing, each user may maintain only one account. Accounts are non-transferable. 4.4 Institutional Accounts Educational institutions and enterprise customers may create organizational accounts with multiple authorized users. The institutional administrator is responsible for managing user access and ensuring all users under the account comply with these Terms.

5. Services and Subscriptions

5.1 Service Tiers Securedy Labs offers services across home, business, enterprise, and educational tiers. Features, usage limits, and pricing vary by tier and are described on securedylabs.dev at the time of purchase. 5.2 Free Trials We may offer free trials of paid features. At the end of a trial period, continued use requires a paid subscription. We reserve the right to modify or discontinue trial offerings at any time. 5.3 Modifications to Services We reserve the right to modify, update, or discontinue any feature or service at any time. For paid subscribers, we will provide at least 30 days notice before discontinuing a material feature. We will not reduce core functionality during an active paid subscription period without a commensurate adjustment to fees or a refund option. 5.4 Availability We strive for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practicable. We are not liable for service interruptions beyond our reasonable control.

6. AEGIS Firewall and Network Security Services

6.1 Authorized Use Only AEGIS is a network security tool. You may only deploy and use AEGIS on networks and systems you own or have explicit written authorization to monitor and protect. Deploying AEGIS on networks you do not own or are not authorized to monitor is a violation of these Terms and may constitute a violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Electronic Communications Privacy Act, and equivalent laws in other jurisdictions. 6.2 Network Telemetry AEGIS processes network traffic metadata locally on your deployed node. You are responsible for ensuring that your use of AEGIS complies with all applicable laws regarding network monitoring, employee monitoring, and student privacy in your jurisdiction. In employment contexts, this may require employee notice. In educational contexts, this requires compliance with FERPA, COPPA, and applicable state law as described in our Privacy Policy. 6.3 No Warranty of Complete Protection AEGIS is a powerful security tool, but no security product eliminates all risk. We do not warrant that AEGIS will detect or block all threats, prevent all breaches, or make your network fully secure. You remain responsible for maintaining a layered security posture. 6.4 Rule Configurations You are solely responsible for firewall rules, configurations, and policies you create or deploy through AEGIS. Misconfigured rules that result in unintended traffic blocking, data loss, or network disruption are your responsibility. Securedy Labs is not liable for damages resulting from user-created configurations. 6.5 AI Console The AEGIS AI console is powered by large language model technology. Outputs from the AI console, including suggested rules, threat assessments, and configuration recommendations, are for informational purposes and require human review before implementation. You are responsible for all decisions made based on AI console output.

7. Acceptable Use

You agree not to use the Services to: • Violate any applicable law, regulation, or third-party right • Monitor, intercept, or access networks or systems without proper authorization • Conduct offensive security operations against third parties without explicit written authorization from the target organization • Attempt to reverse engineer, decompile, or extract the source code of Securedy Labs software • Circumvent, disable, or interfere with security features of the Services • Upload or transmit malware, exploits, or malicious code to our platforms • Use the Services to facilitate attacks on critical infrastructure, government systems, or educational institutions • Scrape, harvest, or extract data from the Services by automated means without prior written consent • Resell, sublicense, or commercialize the Services without a written reseller agreement with Securedy Labs • Impersonate any person or entity or misrepresent your affiliation with any person or entity • Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure Violation of these terms may result in immediate suspension or termination of your account without refund.

8. Educational Institution Terms

8.1 Data Processing Agreement Required Educational institutions must execute a Data Processing Agreement with Securedy Labs prior to deploying any Service in an environment that may involve Student Data. Contact privacy@securedylabs.dev to request a DPA. 8.2 FERPA Compliance When operating under a DPA with an Educational Institution, Securedy Labs acts as a school official with a legitimate educational interest as defined under FERPA. We access Student Data only to the extent necessary to provide the contracted Services and will not disclose Student Data except as permitted by FERPA and the applicable DPA. 8.3 COPPA Compliance Institutions deploying Services in K-12 environments that include students under 13 are responsible for obtaining any required parental consent under COPPA. Institutions must notify Securedy Labs in writing if their deployment environment includes students under 13. 8.4 CIPA Support AEGIS content filtering capabilities are designed to assist institutions in meeting CIPA requirements. However, the institution remains solely responsible for CIPA compliance and E-rate certification. 8.5 No Student Advertising We will never use Student Data to serve advertising or for any commercial purpose unrelated to providing security services to the institution. This restriction survives termination of the agreement. 8.6 Institutional Administrator Responsibility The designated institutional administrator is responsible for configuring the Services appropriately for the institution's environment, ensuring authorized-only access by staff, and notifying Securedy Labs of any changes in deployment scope that may affect Student Data handling.

9. Intellectual Property

9.1 Securedy Labs IP All software, algorithms, models, interfaces, trademarks, trade names, logos, and content comprising the Services are the exclusive property of Securedy Labs or its licensors. Nothing in these Terms transfers any ownership interest in Securedy Labs intellectual property to you. 9.2 Limited License Securedy Labs grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business or educational security purposes, in accordance with these Terms and any applicable Subscription. 9.3 Your Content You retain ownership of all configurations, rules, queries, and other content you create through the Services. You grant Securedy Labs a limited license to process and store your content solely to provide the Services. We do not claim ownership of your network data, rule sets, or configurations. 9.4 Feedback If you submit suggestions, ideas, or feedback about the Services, you grant Securedy Labs an irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

10. Payment and Billing

10.1 Fees Fees for paid tiers are described at securedylabs.dev and may be updated from time to time. Continued use after a fee change constitutes acceptance of the new pricing. 10.2 Billing Cycle Subscriptions are billed in advance on a monthly or annual basis as selected at purchase. Annual subscriptions are non-refundable except as described in Section 10.4. 10.3 Taxes You are responsible for all applicable taxes associated with your Subscription. Securedy Labs will charge applicable taxes where required by law. 10.4 Refunds Monthly subscriptions may be cancelled at any time; you will retain access through the end of the current billing period and will not be charged for subsequent periods. Annual subscriptions are eligible for a prorated refund within 30 days of purchase if you are not satisfied with the Services. After 30 days, annual subscriptions are non-refundable. Educational institution contracts are subject to refund terms defined in the applicable agreement. 10.5 Late Payment Failure to pay may result in suspension of your account. Accounts suspended for non-payment for more than 60 days may be terminated and data deleted in accordance with our data retention policy.

11. Confidentiality

Each party may receive confidential information from the other in connection with the Services. Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care, and not to disclose it to third parties without prior written consent except as required by law. This obligation does not apply to information that is publicly available, independently developed, or lawfully received from a third party without restriction.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. SECUREDY LABS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED OUTPUTS INCLUDING THREAT ASSESSMENTS, RULE RECOMMENDATIONS, AND SECURITY ANALYSES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL SECURITY ADVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SECUREDY LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SECUREDY LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Securedy Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law or third-party right, or your deployment of AEGIS on networks you were not authorized to monitor.

15. Term and Termination

15.1 Term These Terms remain in effect for the duration of your use of the Services or active Subscription, whichever is longer. 15.2 Termination by You You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to a refund except as described in Section 10.4. 15.3 Termination by Securedy Labs We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law. We may also terminate your account with 30 days notice for any other reason. 15.4 Effect of Termination Upon termination, your right to use the Services ceases immediately. We will delete or return your data in accordance with our data retention policy and, for educational institutions, the applicable Data Processing Agreement. Sections 9, 12, 13, 14, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in New Jersey. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. Educational institutions subject to state procurement laws may be subject to alternative dispute resolution requirements as defined in their applicable agreements.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement or Subscription agreement, constitute the entire agreement between you and Securedy Labs regarding the Services and supersede all prior agreements. Severability: If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Securedy Labs may assign these Terms in connection with a merger, acquisition, or sale of assets. Force Majeure: Securedy Labs is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, cyberattacks on our infrastructure, government actions, or internet outages. Notices: Legal notices to Securedy Labs must be sent to legal@securedylabs.dev. We will send notices to the email address associated with your account. Updates to Terms: We may update these Terms from time to time. We will provide at least 14 days notice before material changes take effect by emailing registered users and posting notice on securedylabs.dev. Continued use after the effective date constitutes acceptance.
